IR Policies

Link and Motivation conducts investor relations (IR) according to a fundamental policy of providing fair, accurate and easily comprehensible information on management policies, operating strategies and financial information to shareholders, investors and all stakeholders. In addition, Link and Motivation also provides information regarding its motivational level.

The following IR policies are designed to earn the trust and support of shareholders and investors.

1. Fundamental Policy for Disclosing Information

Link and Motivation discloses information in a timely, appropriate manner as prescribed by relevant regulations including the Financial Products and Exchange Law and Tokyo Stock Exchange timely disclosure rules. In addition, Link and Motivation works to give all market participants equal access to critical information that may affect investment decisions.

Link and Motivation also works to meet the requirements of shareholders, investors and securities analysts for information not subject to timely disclosure rules under a policy of broadly, fairly and quickly disseminating information.

2. Information Disclosure Methods

Link and Motivation disseminates important information subject to Tokyo Stock Exchange timely disclosure rules through information media and the Tokyo Stock Exchange's Timely Disclosure Network (TDnet). Link and Motivation also rapidly disseminates information via its website. In addition, Link and Motivation uses its website and other media channels for information not subject to timely disclosure rules to ensure fair, accurate and timely disclosure of information.

3. Voluntarily Disclosed Information

Link and Motivation presents earnings forecasts when it discloses financial results, and also provides projections of future performance. Moreover, Link and Motivation widely disseminates as quickly as possible important information that may influence the investment decisions of shareholders and investors. Moreover, within regulatory limits Link and Motivation answers questions from outside the Company regarding the information it discloses in a fair and timely manner.

Link and Motivation also energetically discloses information it deems useful for investment decisions but that is not subject to timely disclosure rules. Specifically, Link and Motivation discloses numerical data including the content of quarterly selling, general and administrative expenses, monthly sales, and the Motivation Index*, which is an indicator of the company's motivational level.

4. Expanded Communication

Link and Motivation holds explanatory meetings when appropriate and answers questions it receives on a daily basis in proactively enhancing direct communication with shareholders and investors. Link and Motivation management widely disseminates shareholder and investor requests and feedback internally as reference, which serves to support improvement in services and performance.

5. Quiet Period

Link and Motivation works to prevent leakage of performance data and secure fairness by observing a quiet period of approximately three weeks prior to announcements of results. During this period, Link and Motivation does not comment on or respond to questions about its results, and refrains from discussing results at individual or group meetings. However, Link and Motivation does make timely public announcements as per timely disclosure rules should material events occur during this quiet period.
